Terms of Service

1. Who you are agreeing with

These Terms are between you and Neurobit, a sole proprietorship registered in India in the name of Sayed Zakriya, trading as Spelo ("Spelo", "we", "our"). By creating an account or installing the Spelo widget on a website you control, you agree to these Terms. If you are signing on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The service

Spelo provides an embeddable AI voice agent, a dashboard for managing your sites and conversations, and supporting APIs and SDKs. We may update the service to add features, fix bugs, or improve security. We will give reasonable notice before removing material functionality.

3. Acceptable use

  • No illegal content, harassment, or infringement of third-party rights.
  • No reverse engineering, abusing rate limits, or attempting to extract our models or our providers' models.
  • No use for high-risk applications, such as medical diagnosis, legal advice, emergency services, or other safety-critical decisions, without a signed addendum from us.
  • You are responsible for the prompts and knowledge you configure, and for the conduct of visitors who interact with your widget.
  • You will obtain any consents required by law (for example, recording-consent disclosures in two-party-consent jurisdictions) before enabling call recording or transcripts.

4. Fees, billing, and currency

Paid plans renew automatically on a monthly or annual cycle, depending on the plan you choose. Prices are listed on our Pricing page. Plans may include usage limits (for example, voice minutes per month); usage above the included amount may be charged at the overage rate stated on the Pricing page. Payments are processed by Razorpay. International cards are charged in USD or your local currency where supported, and converted to INR for settlement to us.

You can cancel a paid plan at any time from your dashboard. Refunds are governed by our Refund Policy.

5. Your data

You retain ownership of your data, including your prompts, your knowledge-base content, your configured site settings, and any transcripts or lead data you store with us. You grant us a limited, worldwide licence to process that data solely to operate the service for you. Our data practices are described in the Privacy Policy.

6. Warranties and disclaimers

The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. The voice models we use are probabilistic and may produce inaccurate, incomplete, or unexpected output; you are responsible for reviewing what the agent says on your behalf and for the prompts and knowledge you give it.

7. Limitation of liability

To the maximum extent permitted by law, Spelo's total cumulative liability arising out of or relating to these Terms or the service is capped at the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) US$100. We are not liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits, lost revenue, or lost data, even if we were advised of the possibility of such damages.

8. Indemnification

You agree to defend and indemnify us against third-party claims arising from your configuration of the service, the content of conversations on your sites, or your breach of these Terms.

9. Termination

You may cancel at any time from your dashboard. We may suspend or terminate accounts that violate these Terms, that present a security risk, or that fail to pay outstanding fees. On termination, we will give you a reasonable opportunity to export your data before deleting it.

10. Governing law and jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email to account owners and posted on this page with a new "last updated" date. Continued use of the service after changes take effect constitutes acceptance.
